摘 要
企业在生产经营中总是机遇与风险并存，法律风险就贯穿于企业运行的整个过程中。在境外投资过程，法律风险更是复杂。一旦发生法律风险可能会为企业境外投资活动带来致命的打击。越来越多的经营者及法律人感觉到了境外投资法律风险防范的重要性。本文的研究目的，就是通过对境外投资风险管理控制相关文献、理论的梳理综合，对现阶段云南企业境外投资现状进行分析，并考虑借鉴一些国外企业或者国家在境外投资法律风险管理方面好的经验和做法，建立适合企业境外投资的法律风险管控方法，为境外投资企业法律风险管理提供参考。
本文第一、二、三章是研究企业风险管理、法律风险管理的基本概念等内容。从企业主体、政府主体的视角，对美国、德国、日本这三个国家境外投资法律风险管理与实践进行分析和比较，并归纳出可借鉴的经验。第四章对云南省境外投资现状、主要成绩、基本特点进行阐述后，分析总结了当前云南企业境外投资法律风险管理的现状。第五章从微观角度出发，选取了一家典型的云南境外投资民营企业，分析企业现在境外投资过程中的法律风险管理状况，并提出了法律风险管理建议。第六章是从企业层面论述企业如何构建境外投资的法律风险管理体系。从境外投资全面法律风险管理理念、境外投资法律风险管理文化、境外投资法律风险管理制度、境外投资法律风险信息、境外投资法律风险管理组织和人员的角度构建境外投资法律风险管理体系及其主要内容。
本文从理论研究入手，结合企业境外投资法律风险管理的实际，旨在对企业境外投资法律风险管理实务尽绵薄之力。

Abstract
The operation of enterprises is full of risks as well as opportunities. Legal risk,existing all along the process of enterprise operating, in case of legal risk may causea fatal blow to the overseas investment behavior, and shall deal a fatal blow to thecompany once it is encountered. As a result, growing emphasis has been placed onlegal risk management & prevention by increasing number of operators, managersand legal professionals, and efficient legal risk management systems are also urgentlyrequired by Chinese enterprises at present. Therefore, the thesis,is based on the stageof Yunnan overseas investment analysis, taking the good and experience from foreignenterprises and typical central enterprises, aims at setting up a set of legal risk controlmechanism to gradually level up the overseas investment risk control ability of theenterprises by a comprehensive review of the related articles about foreign investmentand risk management and a deep analysis on the current situation of the enterprisesoverseas investment and legal risk management.
The first to third chapter is main issues on the legal risk management system forthe enterprise is initially expounded at a static and macroscopic angle, and made acomparative research on risk control of overseas investment in enterprises at homeand abroad. Through comparison and analysis on theory and practice of overseasinvestment in the United States, Germany and Japan. Summed up the experience forreference on the basis of comparative study.
The forth chapter carries on the elaboration to the present situation of overseasinvestment in Yunnan Province, main achievements, basic characteristics, summed upthe current situation of overseas investment of Yunnan Province enterprise legal riskmanagement.
The fifth chapter from the microscopic point, select a private enterprisesoverseas investment specific, analyzes the legal status of risk management ofoverseas investment enterprises now in the process of legal risk, and specifically the overseas investment enterprises in the course of the analysis, put forward specific riskmanagement measures.
The sixth chapter is the legal risk management system from the enterprise levelconstruction of overseas investment, which is constructed from the concept of foreigninvestment, foreign investment law risk management culture, system ofadministration,the legal risk of overseas investment information, legal riskmanagement organization and personnel of overseas investment.
